Rwanda has one of the simplest business registration systems in Africa. You register online with the Rwanda Development Board (RDB), and because RDB's system is linked to the Rwanda Revenue Authority (RRA), you receive a Taxpayer Identification Number (TIN) at the same time. Registration is free, which removes one of the biggest barriers for small entrepreneurs. This guide explains how to register a business in Rwanda online with RDB, the rules on VAT, and what to do after registration.

Business registration in Rwanda: key facts

Registration is done on the RDB online portal at businessprocedures.rdb.rw. Cooperatives register with the Rwanda Cooperative Agency instead. Registering with RDB is free, although internet cafés may charge if you ask them to help you fill in the forms. RDB describes online registration as immediate, so many applicants receive their certificate on the same day.

The law requires businesses to register with the Office of the Registrar General within seven days of starting activity. Operating without registration can lead to penalties and makes it harder to access loans, tenders and formal customers.

Sole proprietorship or company?

A sole proprietorship, also called an individual enterprise, is owned by one person. It is the simplest form and suits small traders and service providers, but the owner is personally responsible for the business's debts. A company is a separate legal entity owned by shareholders, which limits their personal liability and makes it easier to bring in partners or investors. Companies have more reporting duties, such as filing annual returns and keeping records of beneficial owners.

How to register a business in Rwanda online

1. Create an account on the RDB business procedures portal with your email address and national ID or passport.

2. Choose the business type: a sole proprietorship or a company. For a company, you will also choose its form, such as a private company limited by shares.

3. Enter the details. Provide the business name, the owners' or directors' details, the address and the business activities. Choose activities carefully, as they determine which taxes and licences apply.

4. Submit and download your certificate. Once approved, download your registration certificate, which includes your TIN, so you are ready to deal with RRA immediately.

VAT registration in Rwanda

You must register for VAT within seven days if your taxable turnover was above RWF 20 million in the previous year or above RWF 5 million in the previous quarter. VAT-registered businesses must use an Electronic Billing Machine (EBM) to issue invoices, which records each sale with RRA. Smaller businesses can register for VAT voluntarily, which can make sense if most of your customers are VAT-registered businesses that want to claim input VAT.

What to do after registration

Declare and pay taxes. Declare and pay the taxes that apply to your business with RRA, using its online services. Keep simple records of sales and expenses from the start.

Register employees. If you employ staff, register them with RSSB for pension, maternity and other contributions, and deduct PAYE. Our Rwanda PAYE calculator shows the deductions, and our guide to Rwanda PAYE and RSSB pension explains each one.

Open business accounts. Open a business bank or mobile money account to keep business and personal money separate. Clear records help when you apply for credit; see our guide to getting a loan in Rwanda.

Check sector licences. Some activities, such as food, health, transport or financial services, need extra permits from the relevant regulator before you start trading.
